I.L.L.A. S.p.A. ("ILLA" or the "Company" or the "Issuer"), a leading company in the production and marketing of aluminum cookware with non-stick coating, issuer of shares traded on the Euronext Growth Milan market, established and managed by Borsa Italiana S.p.A., announces that, with regard to its own issued shares, the conditions provided for in Article 2-bis of Regulation No. 11971 of May 14, 1999, as subsequently amended and supplemented (the "Issuer Regulation"), have been met, and the relevant requirements for the qualification as a "issuer of financial instruments widely distributed among the public to a significant extent" (the "Distributed Securities Issuer") are met. In particular, ILLA announces that: ? as resulting from a communication received from Euronext on December 13, 2023, the total number of shareholders, other than the Company's controlling shareholders, holding in aggregate at least 5% of the Company's share capital, exceeds 500; ? the limits indicated in Article 2435-bis, first paragraph, of the Civil Code are exceeded.

ILLA also announces that, having noted the existence of the aforementioned requirements, it has proceeded to fulfill the obligations prescribed by Consob with regard to Issuer Regulation.
Therefore, starting from the 2024 financial year, the Company will be subject to the regulations applicable to Distributed Securities Issuers.
