Cessione azioni: BP Holding e BB Holding disinvestono - FOS

FOS S.p.A. ("FOS" or the "Company"), a small and medium-sized enterprise based in Genoa, active in consultancy and technological research, listed on the Euronext Growth Milan market of Borsa Italiana, engaged in the design and development of digital services and products for large industrial groups and the public administration, hereby announces, in accordance with the "Transparency Regulations" and Article 17 of the Euronext Growth Milan Issuers Regulation, that it has received a communication from shareholders BP Holding S.r.l.

and BB Holding S.r.l. regarding the change in their shareholdings in the Company. This circumstance is a result of their participation in the voluntary partial takeover bid launched by FOS S.p.A. for its own shares, as a result of which, based on the application of the definitive Allocation Coefficient (as indicated in the press release of February 12, 2024), BP Holding S.r.l.
sold 302,700 ordinary shares of FOS, representing approximately 4.43% of the Company's share capital, and BB Holding S.r.l. sold 85,638 ordinary shares of FOS, representing approximately 1.25%. As a result of the above, the shareholding of BP Holding S.r.l. is now made up of 3,124,372 ordinary shares of FOS and falls below the 50% threshold, while the shareholding of BB Holding S.r.l.

is now composed of 598,662 ordinary shares of FOS and falls below the 10% threshold.
